1. Introduction and Acceptance
By accessing, browsing, or otherwise utilizing any of Aythena’s digital services (the “Services”), you (the “Client” or “User”) irrevocably and unconditionally agree to be bound by these Terms and Conditions (the “Agreement”), including any amendments or modifications incorporated by reference. If you do not agree with any part of these terms, you must immediately discontinue using our Services.

2. Services and Digital Nature
2.1 Nature of Services:
Aythena provides non-tangible, digital products and services, which become irrevocable upon activation.
2.2 Review Prior to Purchase:
Clients are strongly encouraged to familiarize themselves with the functionality and features of our Services before making any payment.

3. Payment, Refunds, and Subscription Terms
3.1 Payment Processing:
All payments made for the Services are processed through our third-party payment provider (such as Paddle) and are subject to their terms as well as this Agreement.
3.2 Refund Policy:
All payment-related matters are governed by our Refund Policy. By making a purchase, you acknowledge that you have read, understood, and agreed to the Refund Policy, which is incorporated herein by reference.
3.3 Subscription and Renewal:
Your subscription begins immediately upon successful processing of the initial payment. Subscriptions renew automatically at the end of each billing period unless cancelled as provided in Section 5. By subscribing, you authorize Aythena to store and charge your payment method(s) for each renewal cycle.

4. Prohibited Goods, Services, and Conduct
4.1 Compliance with Applicable Laws and Guidelines:
The Client agrees not to use our Services to offer, sell, or promote any products or services that violate applicable laws, infringe on intellectual property rights, or are otherwise prohibited by the guidelines established by our payment processor (e.g., Paddle).
4.2 Examples of Prohibited Activities:
Without limitation, the following are prohibited:
 a. Offering or distributing illegal or regulated goods without proper authorization.
 b. Selling counterfeit or infringing products.
 c. Promoting content that is harmful, dangerous, or violates any platform policies.
4.3 Enforcement:
Aythena reserves the right to suspend or terminate access to the Services immediately if any prohibited activities or violations of these terms are detected.

5. Cancellation and Data Handling
5.1 Cancellation Procedures:
You may cancel your subscription at any time before the commencement of the next billing cycle by contacting our support or via your account’s billing settings.
5.2 Effect of Cancellation:
Cancellation will take effect at the end of your current billing period. No refunds will be issued for any remaining period of an active subscription, except as required by applicable law.
5.3 Data Deletion:
Upon cancellation or termination of Services, Aythena will promptly and irrevocably delete all Client data from active systems and backups, in accordance with our Privacy Policy.

6. Intellectual Property Rights
6.1 Ownership:
All intellectual property rights—including copyrights, trademarks, patents, and trade secrets—in any creative works, designs, content, or deliverables (collectively “Aythena Assets”) provided as part of the Services remain the sole property of Aythena.
6.2 License to Use:
Upon full payment and subject to any separate license agreement, the Client is granted a limited, non-transferable license to use the deliverables for internal business purposes only. Any transfer or additional rights must be agreed to in writing.

7. Service Modifications and Amendments
7.1 Right to Modify:
Aythena reserves the right to modify, suspend, or discontinue any aspect or feature of the Services at its sole discretion, with or without prior notice.
7.2 Amendments:
Any amendments or updates to this Agreement will be effective immediately upon posting on our website or otherwise communicated to you. Continued use of the Services constitutes acceptance of the amended terms.

8. Limitation of Liability and Indemnification
8.1 Limitation of Liability:
To the maximum extent permitted by law, Aythena shall not be liable for any indirect, incidental, punitive, consequential, or exemplary damages arising from or in connection with the use or inability to use the Services.
8.2 Indemnification:
You agree to indemnify, defend, and hold harmless Aythena, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, or expenses (including reasonable attorneys’ fees) arising out of your breach of this Agreement or misuse of the Services.

9. Governing Law and Dispute Resolution
9.1 Governing Law:
This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which Aythena is domiciled, without regard to its conflict of law principles.
9.2 Jurisdiction:
You consent to the exclusive jurisdiction of the courts located in Aythena’s domicile for any disputes arising under this Agreement.
9.3 Alternative Dispute Resolution:
Prior to initiating litigation, both parties agree to attempt to resolve disputes amicably through mediation or another mutually acceptable alternative dispute resolution process.

10. Privacy and Data Protection
Your use of our Services is also governed by our Privacy Policy, which is incorporated herein by reference. By using the Services, you consent to our collection, use, and disclosure of your information as described therein.

11. Entire Agreement and Contact Information
11.1 Entire Agreement:
This Agreement constitutes the entire understanding between you and Aythena regarding its subject matter, superseding all prior agreements and understandings, whether written or oral.
